1. Acceptance of Terms
These Terms & Conditions (collectively referred to as this "Agreement") govern the access and use of the corporate websites, software dashboards, textile and RMG ERP tools, smart utility metering systems, and custom SaaS products provided by Pakiza Software Limited(hereinafter "Pakiza," "we," "our," or "us").
By registering an administrative system profile, checking a product licensing prompt, or executing a corporate Service Level Agreement (SLA), you confirm that you have read, understood, and agree to be bound by this Agreement. If you are entering into these terms on behalf of a garment factory, corporate group, retail outlet, or other legal entity, you guarantee that you possess the legal authority to bind that entity to these conditions.
2. Software Licensing Models & IP
All components, design systems, interface structures, database schemas, algorithms, code sequences, and proprietary assets of our ERP and POS solutions are the exclusive intellectual property of Pakiza Software Limited. We grant client enterprises a non-exclusive, non-transferable, revocable software license subject to the following limits:
- License Scope: Software must be used only inside the agreed number of admin panels, terminals, or factories specified in your contract. Shared use of login accounts across non-licensed divisions is strictly prohibited.
- Code Protection: You agree not to copy, reverse-engineer, translate, modify, or attempt to extract source codes from our compiled binaries or cloud-hosted modules.
- Ownership of Enhancements: Custom features, reports, or workflow optimizations engineered specifically for your factory remain the intellectual property of Pakiza Software Limited, unless explicitly agreed otherwise in your SLA.
3. User Obligations & System Conduct
Clients must keep all system access credentials, administrative accounts, and API connection tokens secure. You agree that your employees and agents will not use our systems to:
- Upload malicious files, SQL injection scripts, or network scans to our server architectures.
- Attempt to gain unauthorized access to databases or licensing files of other Pakiza clients.
- Violate local cyber laws including the Cyber Security Act, 2023 of Bangladesh.
- Use automated scraper scripts or bots to extract public pricing data or code structures without our written consent.
4. Payments, SLA & Invoicing
Pricing, cloud infrastructure support costs, setup fees, and custom ERP integration charges are billed under corporate invoicing rules:
- Billing Terms: Corporate accounts are invoiced monthly, quarterly, or annually as set out in your signed SLA contract. Invoices are due for payment within fifteen (15) days of the invoice date.
- NBR Compliance: All payments are subject to standard Bangladesh VAT and Tax regulations. Tax Deduction at Source (TDS) and VAT Deduction at Source (VDS) must follow National Board of Revenue (NBR) rules, and clients must supply official tax certificates to us within 30 days of payment.
- Late Payments: If payments remain unpaid past the due dates, we reserve the right to suspend active user sessions, restrict access to SaaS modules, or stop database support.
5. Social Compliance & Audit Disclaimers
Except as specifically provided in a separate signed SLA, all software features are provided on an "as-is" and "as-available" basis.
Our HRMS modules are designed to assist garment factories in exporting compliance reports for international apparel brand audits (H&M, Zara, Walmart, Target, etc.). However, Pakiza Software Limited does not guarantee or warrant that utilizing our software alone will ensure compliance clearances. The client is solely responsible for maintaining legal labor procedures and compliance metrics on the ground.
6. Limitation of Liability
To the maximum extent permitted by Bangladesh law, Pakiza Software Ltd. shall not be liable for any indirect, incidental, or consequential damages. This includes lost factory profits, garment shipment delays, compliance penalty charges, database failures, or inventory discrepancies.
In all circumstances, our maximum liability for claims relating to software license failures is limited to the total fees paid by the client in the twelve (12) months preceding the dispute.
7. Governing Law & Dispute Resolution
These Terms of Service and any contractual disputes arising from them shall be governed by, interpreted, and enforced in accordance with the laws of the People's Republic of Bangladesh (including the Contract Act, 1872).
Any legal disputes, arbitrations, or lawsuits must be filed exclusively in courts located in Dhaka, Bangladesh, and you agree to the jurisdiction and venue of these courts.
8. Amendments to Terms
We reserve the right to revise or update these Terms of Service at any time. When updates are published, we will modify the "Last Updated" date at the top of this document. Continued usage of the Services after revisions take effect implies agreement to the updated Terms.
